Introduction & Agreement to Terms

Welcome to LynchPine (Pvt) Ltd (“LynchPine”, “we”, “us”, or “our”). By using our website (www.lynchpine.io), engaging our services, or otherwise interacting with us - you (“you”, “client”, “user”, or “customer”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not use our website or services.

 

These Terms apply to all services, deliverables, and communications provided by LynchPine, unless otherwise explicitly agreed in writing between you and LynchPine.​

 
Services & Scope​

  • LynchPine provides services including web application development, mobile app development, digital marketing, quality assurance, UI/UX design, point-of-sale solutions, and other related software/consulting services as agreed per project.

  • The specific scope, deliverables, timeline, cost, and any special terms will be defined in a separate agreement, quotation, or statement of work.

  • Unless otherwise agreed in writing, LynchPine is not obligated to deliver services beyond what is clearly specified in that agreement.

 
Client Obligations & Co-operation

  • You agree to provide all necessary information, materials, access, and cooperation required for LynchPine to perform the services.

  • You represent and warrant that any materials or data you provide do not infringe the intellectual property or other rights of third parties, and that you have legal authority to share such materials with us.

  • You agree to respond to requests for feedback, approvals, or clarifications in a timely manner, as delays from your side may impact project timelines.

 
Fees, Payment & Invoicing

  • Fees and payment terms will be as stated in the quotation, invoice, or contract agreed between the parties.

  • Unless otherwise agreed, payment is due within [insert number] days of invoice receipt.

  • In case of non-payment or late payment, LynchPine reserves the right to suspend or withhold deliveries, work, or access until payment is received. Additional charges (e.g. late fees) may apply if specified in the contract.

 
Intellectual Property & License
​

  • All intellectual property rights in pre-existing materials, methodologies, tools, and assets owned or developed by LynchPine shall remain the exclusive property of LynchPine (or its licensors), unless explicitly transferred in writing.

  • For deliverables created specifically for you (e.g. website code, designs, content), ownership or license terms will be as defined in the project agreement.

  • You may only use the deliverables for the purpose and scope defined in the agreement. Any additional use - modification, redistribution, resale - requires LynchPine’s prior written consent.

 
Acceptable Use & Prohibited Activities

When using our website or services, you agree not to misuse them. Prohibited uses include - but are not limited to:

 

  • Violating applicable laws or regulations;

  • Uploading or transmitting malware, viruses, or harmful code;

  • Attempting unauthorized access to systems, data, or restricted areas;

  • Interfering with the proper functioning of our services;

  • Using our services to infringe third-party rights (copyright, privacy, etc.);

  • Spamming, phishing, or distributing unsolicited messages.

 

We reserve the right to suspend or terminate access if you violate these rules.

 
Confidentiality & Client Data

 

  • LynchPine acknowledges that any non-public business information, materials, data, or content you provide (including client-provided materials) is confidential. We will treat such information as confidential and not disclose it to third parties, except as required to deliver the services, comply with law, or as expressly agreed.

  • We will use reasonable care to protect your confidential information, but cannot guarantee absolute security.

 
Warranty Disclaimer & Limitation of Liability

  • Our services and deliverables are provided on an “as is” and “as available” basis. While we strive for quality, we do not guarantee that services will be error-free, uninterrupted, or will meet all expectations under all circumstances.

  • To the maximum extent permitted by law, LynchPine disclaims all warranties - express or implied - including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

  • LynchPine will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or lost business opportunities, even if advised of the possibility of such damages.

 
Termination & Suspension

  • Either party may terminate the engagement per the terms defined in the project agreement or contract.

  • LynchPine may suspend or terminate services immediately if you fail to adhere to these Terms, including failure to pay fees, violation of acceptable use rules, or provision of unlawful or infringing materials.

  • Upon termination, you remain responsible for all outstanding fees and any costs already incurred.

 
Changes to Terms & Services

  • We reserve the right to modify these Terms at any time. We will publish the updated Terms on our website and indicate a revised “Effective Date.” Continued use of our website or services after such changes constitutes acceptance of the new Terms.

  • For ongoing projects, any substantial changes to scope, pricing, or timeline will be communicated and agreed in writing before implementation.

 
Governing Law & Dispute Resolution

 

  • These Terms are governed by the laws of [insert governing jurisdiction - e.g. Sri Lanka or where LynchPine is registered].

  • Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless both parties agree otherwise.
